What can be the reason for the negative synergistic gains for British acquisitions of U.S. firms?

Negative synergies for British acquisitions of U.S. firms (united state firms) may reflect that British managers might have been inspired to invest in U.S. firms to pursue their own interests, like building corporate empire, rather as compared to the shareholders’ interests. Negative synergies can be viewed like an agency costs.
