Question - Since 2005, Ben O'Malley was employed as the chief engineer at 'Sydney Aircraft Repairs' - a spare parts and aircraft repairs business owned by Century Air Supplies Ltd (CAS). Ben is also a director and major shareholder of CAS. During his time with the company, Ben invested a lot of time and energy on developing a new type of anti-hijacking device for small aircraft. Last week, CAS Ltd was approached by Australian Airlines Ltd and offered $5m for the copyright to Ben's device. Because Ben was the only one in the office, none of the other board members know about the offer. Answer the following questions:

(a) Would Ben breach any duties if he left CAS Ltd, started his own company, and exploited this business opportunity by himself? You must refer to law.
