The roles of chair and CEO are intrinsically different and, depending on the circumstances, you should consider separating. The chair leads the board in carrying out its duties of monitoring, remunerating, and replacing management. Due to the CEO's management position, there is an intrinsic conflict if the CEO were to lead the board in its duties to oversee management. This would be like a football referee also being a player in the same match. The problem is partially addressed by the creation of certain committees, such as a remuneration committee that objectively assesses the pay and performance of the CEO and other management. Why should we split the roles of chair and CEO?
