Problem: Buyer manufactures laptop computers and Seller supplies the processors that Buyer will incorporate into its products. The parties have entered into a ten year contract to supply Buyer with all the processors it will use in its mid-range business laptop line (including subsequent models during contract term). Buyer also manufactures a high-end and low-end business laptop line, and also has multiple consumer laptop and desktop product lines, but they all currently utilize a competitor's processor. Seller is aware that its competitor has several different contracts in place to facilitate those orders, and some will be expiring over the next five years. You are the CM for the Seller. You are informed by your Project Manager that Buyer may be in breach of the contract by using some of the manufactured processors in other laptops that are not listed in the contract. After reviewing the terms of the contract and verifying the breach, what would be the most appropriate path forward?
