Your Final Project will consist of an informal research report. You may use any format you wish (single-spacing, double-spacing, footnotes, end notes, etc.), but your report must contain separate headings for each section and should be organized as follows:
A. Favorite Business in Central Florida
First, describe what your group's favorite business or company in Central Florida is and explain why. (100 words)
B. In-Person Interview
Next, your group should reach out to a director, officer, manager, owner, or other key employee working for this business and arrange an in-person meeting. What is the name and title of this person? Attach a selfie or photograph to your report.
C. Report
Interview the key person listed in Part II above, conduct your own independent research (online, library, etc.). and address the five following legal and ethical issues in Part C of your final project:
1. Choice of Business Entity
From a legal perspective, what type of business entity is your favorite business, e.g. is it a sole proprietorship, a partnership, an "LI.C," or a corporation? Why did the firm choose this type of business entity? (100 words)
2. Intellectual Property
What is the firm's most valuable type of intellectual property, i.e. is it a trade secret, a patent, a copyright, or a trademark? How did the firm acquire the legal rights to this intellectual property? (100 words)
3. Contracts
What is the firm's most important contract or contractual relationship? Is the contract in writing? Who is the other party to the contract, and what are the main terms of the agreement? What legal risk is the contract designed to minimize? (100 words)
4. Litigation
What is the most important lawsuit (past, present, or future) that could affect the future of the firm? Is the firm the "plaintiff' or the "defendant" in this case? Is this case more likely to settle out of court or go to trial? (100 words)
5. Ethics
Identify who the main "stakeholders" of the firm are and describe the firm's commitment to ethics. Provide one example of an ethical dilemma the firm confronted and how it was resolved. (100 words)
