Question: Noah, Eve, Ophelia and Hamlet formed an LLC. Their Operating Agreement stated that a member could be dissociated from the business if they committed any action contrary to the best interests of the business. Late on a Friday afternoon, Ophelia saw Hamlet use the business checkbook and write out a check to himself for $12,500. Ophelia immediately called a meeting of the members, informed Noah and Eve of what she saw, and the three voted Hamlet out of the business. On Monday, when Hamlet arrived at work with a new 3-D printer, he was surprised by his dismissal and said Ophelia had been mistaken because the printer was for the office. Insisting that the business did not need a 3-D printer and that Hamlet's actions were contrary to the best interests of the business, Ophelia insisted that Hamlet was out and no longer a member.
