Alex, Blaine, and Carson formed a partnership to breed and show standard poodles with the hope of one day winning the blue ribbon at the Westminster Kennel Club Dog Show.

Alex and Blaine each contributed $12,000 to the partnership. Carson contributed five poodles. The value of the five poodles at that time was $12,000. The partnership agreement provided that the partners would share profits equally. Although they were making some profits, the poodles failed to perform at dog shows as expected. As a result, Alex and Blaine decided to reduce Carson's share of the profits. Carson claims that this decision to reduce his share must include him and must be unanimous to be binding. How will the case be decided? What could they have done to avoid this problem?
