Alex, Blaine, and Carson formed a partnership to breed and show standard poodles with the hope of one day winning the blue ribbon at the Westminster Kennel Club Dog Show.

Alex and Blaine each contributed $12,000 to the partnership. Carson contributed five poodles. The value of the five poodles at that time was $12,000. The partnership agreement provided that the partners would share profits equally. Although they were making some profits, the poodles failed to perform at dog shows as expected. As a result, Alex and Blaine decided to reduce Carson's share of the profits. Carson claims that this decision to reduce his share must include him and must be unanimous to be binding.
