Question - We have evaluated and would like to acquire a public company. The company is trading at $45 per share and has a total of 300 million diluted shares outstanding. We have negotiated a 20% purchase premium. The company has an LTM EBITDA of $100 million, $150 million of net debt outstanding. We will also assume $7 million of transaction fees. The net debt cannot carry over to the acquirer so it must be paid down. What are the total uses of funds?
