Question: Corporation B wants to acquire all 100,000 shares of Corporation A's stock in exchange for 100,000 shares of Corporation B voting common stock with a value of $10,000,000. In 2021, Corporation B issues 99,000 voting common shares to Individuals 1 through 9 in exchange for 99,000 of Corporation A's stock. One shareholder, Individual 10, refuses to consent to the exchange. In 2022, Corporation B pays $100,000 to Individual 10 for his 1,000 shares.
