Assignment:

George is the majority shareholder of Falcon Company Limited ("Falcon"). George sits on Falcon's board of directors (a three-person board) along with Steve and Sara. Steve and Sara are also involved with another company, Eagle Company Limited ("Eagle"). Eagle and Falcon have a business relationship.

Unfortunately, a problem arises in their business relationship and George wants Falcon to sue Eagle. Falcon's board votes on suing Eagle, however, Steve and Sara vote against this action. Despite not being approved, George still directs Falcon to sue Eagle.

Considering the actions of George, Steve, and Sara, are there any legal issues? Should Falcon be able to sue Eagle? Why or why not?
