Question

Plaintiffs entered into a series of contracts involving coal excavations with Doral Coal Company and Dean Coal Company. Robert W. William, defendant, was president of both coal companies. When royalty payments owed were not made by the corporations as agreed, the plaintiffs canceled the agreements and filed suit against the defendant individually. They contended that the defendant was personally liable because he was the sole shareholder of each corporation. Is the defendant liable? Why or why not?
