Alan is a member of Permata Sdn Bhd (PSB). PSB held a general meeting last month. Alan was abroad at the time. As such, he was not able to attend the meeting. Alan appointed Lucy as his proxy in accordance to the Companies Act 2016 and rules fixed by PSB. Unfortunately, Lucy was not permitted to vote by Harris, the chairman to the meeting. When Alan was back in Malaysia, he went to Pamela's office, who is the secretary of PSB. Alan asked Pamela's clarification on the incident. According to Pamela, Harris's decision was made based on the fact that Alan has not made full payment for his shares in PSB. In the meeting as well, Alan asked for minutes' bool. He wished to have a look at it and tried to understand what happened on that day. However, his request was declined by Pamela. Alan was extremely unhappy. In the meantime, Alan has a brother, Lionel who is also a businessman. Lionel and three other persons, Sebastian, Rowland and Duncan, incorporated a company named Clear River Sdn Bhd (CRSB). Four of them are members as well as the directors of CRSB. Everything went on well until recently Lando came.
