1. Conduct legal research and assist in preparing legal memoranda relating to securities issues, the liability of directors in connection with the issuance of securities, the announcements that must be made by the companies under the Companies Regulations and the Capital Market Law and its regulations, the board's competition and independence, and the insider trading.

2. Advise clients on the issuance of securities, the company's compliance with the requirements of the Corporate Governance Regulations, and other various issues related to compliance with the Capital Market Law and its regulationsand the Companies Regulations.

3. Provide day-to-day legal advice on a range of legal issues in relation to Capital Market Law and its regulations.

4. Perform due diligence review of various legal documents in connection with the issuance of securities.

5. Review, prepare and assist in drafting prospectus and regulatory filings.

6. Advised on the issuance of bonds and notes used to finance various projects of the District government, nonprofit entities, and for-profit entities.

7. Performed legal research and assisted in preparing legal memoranda relating to the issuance of bonds, notes and real property tax assessment.
