Law of Business Organisations Assignment - Corporations Act Project: Application of the Corporations Act

Purpose: To allow students to demonstrate their ability to research and apply basic concepts and principles of company law, and to analyse and synthesise information in accordance with those concepts and principles.

Task Details: Register a Pty. Ltd company with a class of preference shares. Prepare all documents to call a shareholders meeting to appoint new directors.

Research Requirements: Students need to support their analysis from the text and the Corporations Act.

Register a NO LIABILITY COMPANY. The Internal Management of the company must be governed by a combination of REPLACEABLE RULES and a CONSTITUTION.

The company must have 2 classes of shares - ORDINARY SHARES and PREFERENCE SHARES.

The company's powers must be restricted to GOLD MINING ONLY.

The following sections of the CORPORATIONS ACT need to read, understood and complied with in order to complete the assignment - Sections 117(1) (2); 112(1) (2); 134;135;136; 168; 169; 147; 254A(2); 201A; 204A(2).
