Sugar Mills Pty Ltd is a sugar cane refinery. Its shareholders are Francis, who has 10,000 shares, Bridget, who has $2,500 shares, and Mary, who has 500 shares. The three shareholders are also directors of the company. In a falling out between the three board directors, Bridget was voted off the board and replaced by the company's solicitor. A partnership was established by Francis and an associate to sell the waste from the sugar mills as garden compost, which became very profitable. The company was excluded from any profits from the partnership even though the operations of the partnership were conducted on the company's premises, used company labour and were run by the company's manager. The company also resolved to allow the partnership the benefit of a lucrative licence for the carting of the sugar cane from farms to the company's refinery.

Advise Bridget as to the actions of Francis (as a director of Sugar Mills Pty Ltd).
