Benoit is a shareholder in the company BleuCiel Inc. He learns from a reliable source that Monash, the president and CEO of the company, pays a fictitious employee a salary of $150,000 per year. Benoit believes that Monash is abusing his position as CEO and is jeopardizing BleuCiel Inc.
However, according to Benoit, since BlueSky Inc. is a legal entity, there is no effective legal recourse to preserve the general interest of the company.
