How can the project manager assure that an agreement based on differing terms does not arise?

If parties negotiating a contract generally use form contracts with differing terms, how can a project manager most effectively resolve these differences?

How a manager might negotiate contractual provisions such that there is little or no possibility that another party could successfully argue;

  1. There has been a mistake or that you have made a misrepresentation of a material term of the contract, or
  2. You have used undue influence or duress in negotiating the contract, or
  3. A term you negotiated in the contract is unconscionable.
