When Norman and George (Controllers) exercise their majority voting power at a general meeting of the company to remove Peter from the board of directors of the company they can be accused of unfair misuse power - oppressive conduct s 232. It can be argued that their action is contrary to the interests of members as a whole. Their conduct is oppressive, unfairly prejudicial to or unfairly discriminatory against a member, a director in this instance s 232.30

Oppressive conduct covers broad range of conduct s 232.30. It usually happens in small tightly held company who is unable to continue a workable relationship with the other shareholders.
