You are required to write an assignment of 3,000 words. There are two assignment tasks which are as follows:

TASK 1

Select two different companies: one a major company of Oman listed in the Muscat Securities Market (with no government ownership) and the other, a state owned company like Oman Oil Company or Oman Air. Compare and differentiate the two organisations in terms of their board structure, board responsibilities and authority, how the board operates, and other major legal difference between the two boards.

TASK 2

Put yourself into the role of a consultant of a large SAOG company employing more than 500 people and involved in production and selling of dairy products in Oman. You maintain a close contact with the General Manager, Human Resource Management and other top officials of the company. From time to time you are required to represent the company in the legal cases in courts. You usually visit the company once or twice a week to discuss legal matters that last for one to two hours each time.

Considering the nature of your job, you are required to critically analyse and discuss the different knowledge areas and soft skills you will need to master to be an effective legal consultant of the company. You are required to describe what relevant laws you will need to be expert in dealing with the possible legal issues that may arise in the company.

Coursework assesses the following module learning outcomes:

Identify and critically compare the main business organisational structures within England and Wales in terms of legal personality, status, formation and administrative requirements

Demonstrate through written essays analysis and reasoning skills and the ability to apply to realistic scenarios through the use of company law provisions and common law principles.

Appraise the concept of corporate governance and its importance. appreciating the role of the Companies Acts and precedents in creating a legal framework for companies.

Examine the various duties, rights and forms of liability within the business context
