Greg Jones was a real estate salesman. Jones sold to Garman, Goden & Groffats Associates (Triple G), a general partnership, an apartment building that needed extensive renovation. Jones represented that he personally had experience in renovation work. During the course of negotiations on a renovation contract, Jones informed the managing partner of Triple G that he would be forming a corporation named "Building Design & Development" to do the work. A contract was executed in August between Triple G and "Building Design and Development (In Formation), Greg Jones, President." The contract required the renovation work to be completed by October 15. Jones immediately subcontracted the work, but the renovation was not completed on time. Triple G also found that the work that was completed was of poor quality. Jones did not file the articles of incorporation for his new corporation until November 1. The partners of Triple G sued Jones to hold him liable for the renovation contacts. Jones denied personal liability, and has come to your law firm for legal representation.
