Ryan is a purchasing agent for Coastal Carolina University. William, a CCU corporate officer, gives Ryan written authority to buy for CCU as many shelving units and paper supplies as necessary.
The next day, William calls Ryan and tells him to buy only 50 shelving units and nothing else.
Ryan shows the original written authority to Office Supply, Inc., and enters into a contract with Office Supply to buy 60 shelving units and a selection of writing supplies, pens and paper. Office Supply ships the order to CCU.
Is CCU liable to Office Supply under the contract?
Is Ryan liable?
In each case, if so, why and how much? If not, why not?
You should conduct a complete analysis using the flow chart in your PowerPoints (employee vs. independent contractor) and also look at the agents’ authority section in your book, specifically addressing actual authority and apparent authority. You should then apply these concepts to the facts.
So, you should point out the issue at hand, define it, apply the facts to the issue and make conclusions.
Repeat this process until all issues are addressed and all questions are answered.
