Question: Felicia is a member of Caulfield Ltd which is a company listed on the Australian Stock Exchange (ASX). She owns 20% of the company's shares. She regularly attends the company's meetings, but is frustrated that many of the company's 350 other members rarely attend them. The company's Annual General Meeting (AGM) is to be held next month. 2 There is an item on the meeting's agenda which was proposed by Felicia which states "That the company's constitution be changed so that future members' meetings are held entirely online". Felicia is happy that she has the support of 120 other members, but she knows that the remaining members are opposed to her proposal. Please answer the following questions: (i) If Felicia and her 120 supporters vote in favour of her proposal, will that enable the constitution to be changed? Why or why not? (ii) If Felicia's proposal was successfully passed, could the company's future members' meetings be held entirely online? Why or why not? (iii) Lars is a member of Caulfield Ltd and will not be able to attend the meeting due to a very important prior commitment. How can he ensure that he is able to vote on Felicia's proposal? Explain.
