PenroseCorp is experiencing severe cash-flow problems and engages Martha, an agent to canvass new overseas customers. While Martha is active overseas, the directors of PenroseCorp decide to discontinue business and liquidate the company. The agent, who is unaware of the company’s liquidation, subsequently enters into a number of contracts with certain parties in the US, Australia, India and Ukraine on behalf of PenroseCorp. Advise Martha as to her legal situation.
