Elon Musk is the CEO, Technoking and member of the board of directors of Tesla, Inc., an electric vehicle manufacturer with shares listed on Nasdaq. He also serves as the CEO, chief technology officer and chairman of Space Exploration Technologies Corporation (SpaceX) and is the founder of The Boring Company, an infrastructure company, and a co-founder of Neuralink Corp., a company focused on developing brain-machine interfaces. SpaceX, The Boring Company and Neuralink are private companies. Each year, the Tesla Board of Directors instructs Tesla's Nominating and Governance Committee to prepare Elon Musk's annual performance review. This year, the Board of Directors also has asked the Nominating and Governance Committee to show a mid-year performance review for Mr. Musk. Instructions: Prepare performance reviews for 2021 and 2022 (year to date) for Elon Musk, based on all factors you deem relevant. You should be expansive in considering what factors to include in this review, given Mr. Musk's position as the CEO of a public company. Factors you may want to consider include, but are not limited to: • Elon Musk's obligations to SpaceX and his other companies;
• Tesla's financial results, condition and operations;
• Elon Musk's other public actions, such as (a) his disputes with the SEC and (b) his potential acquisition of Twitter, Inc.; and
• anything else you deem important. In preparing your response, please note the following:
1) The performance reviews for 2021 and 2022 (year to date) may be the same, or they may not. This is completely at your discretion, but you should explain why the performance reviews are either the same or are different.
2) This is a review of Elon Musk's job performance at Tesla. You are not expected to (and should not) review his compensation or make any compensation determinations.
