Problem 1. In May 2010 Telefónica sent a letter to the board of Portugal Telecom (PT), stating that Telefónica proposed to acquire PT's stake in the Brazilian mobile company Vivo Participações S.A. According to Telefónica, its €5.7 billion offer was a full, fair and final offer.

Problem 2. How would PT's board regard this bid? On the one hand, it represented a 100% premium on Vivo's stock price. On the other hand, it was a blow to the PT Group's international aspirations. Moreover, the sometimes conflicting views of the general public and the government had the potential to complicate matters further. Lastly, this deal also had important international implications.
