You are required to write an assignment of 3,000 words. There are two assignment tasks which are as follows:

TASK 1

Select two well-known business firms in Oman, one is LLC and the other is SAX:64, Compare and differentiate the two companies in terms of the structure, authority and responsibilities of their boards. You have to identify where the two boartirfi er and why.

TASK 2

Put yourself in the role of a legal adviser in a large Limited Liability Company (Firm A). Firm A has recently reached a general understanding with another SOSC company (Firm B) where Firm A will acquire all shares of Firm B and Frim B will lose its existence. Both firms operate in the same business within the geographical boundaries of Oman. A formal contract is yet to be made and Firm A has asked for your help and advice in executing the plan. Specifically, your tasks are as follows:

1. Should Firm A carry on with the same business structure of a Limited Liability Company?

2. What relevant laws need to be considered to ensure that the deal is executed smoothly?

3. How will you ensure that due diligence is carried out?

4. What major provisions you would like to be made a part of the legal contract?

Your answer should be more of application of concepts and ideas. It will not be appropriate to focus your discussion on the theory.

This WRIT1- Coursework assesses the following module learning outcomes:

o Identify and critically compare the main business organisational structures within England and Wales in terms of legal personality, status, formation and administrative requirements

o Demonstrate through written essays analysis and reasoning skills and the ability to apply to realistic scenarios through the use of company law provisions and common law principles.

o Appraise the concept of corporate governance and its importance, appreciating the role of the Companies Acts and precedents in creating a legal framework for companies.

o Examine the various duties, rights and forms of liability within the business context

Assessment Guidance:

Before, you decide your two organisations for Task 1 of this assignment, undertake some research to make sure that there is enough information available to you. The organisations that you select must be REAL and currently in business.

You should submit your two assignment tasks in one MS word file on to Turnitin before TBA. All material, including charts, diagrams and statistics should be correctly referenced.

Marking Criteria:
This is a 3,000 words equivalent WRIT1- Coursework. Please ensure that you do not go over the word count. A minimum of 7 different sources should be given (e.g., textbooks or business reports/websites but not lecture presentation material or general websites). All material, including charts, diagrams and statistics should be referenced using the Harvard system.

If you research using just the recommended text from the reading list and/or base your WRIT1- Coursework on the lecture material alone you will not gain a high mark. If you wish to gain a higher mark you will need to engage in further reading using not just textbooks but also articles, and you should read around the topics.

You must acknowledge ALL your sources and all work should be correctly referenced using the Harvard system, with a complete reference list at the end of the paper. There is a guide on Blackboard so there are no excuses.

You may include appendices; however, they serve only as a point of reference and NOT another way to write more. Please note marks will not be given for appendices.
