An authorized representative of Fast Foods, Inc.,approached Beck, an independent grocer, and offered to set him up in a franchisedconvenience store in a town 50 miles away if Beck would pay $280,000. The representative explained that there would be no contract until Beck actually paid Fast Foods the entireamount.

In order to obtain the money quickly, Beck soldhis own store and his home at a loss.

He moved his family to the new town. Even so, Beckwas able to raise only $260,000.

At this point, the Fast Foods representativecalled Beck and said that the deal was off.
