Problem:

Carol is a shareholder and director of Flinders Lane Pty Ltd. Carol is concerned about the conduct of David Smith in managing the affairs of the company as the majority shareholder and managing director. Carol is considering reporting David to ASIC. Advise Carol whether ASIC has the power to carry out investigations into the affairs of Flinders Lane Pty Ltd and the conduct of David. Also advise Carol whether ASlC can bring legal proceeding following any investigation, and if so, what types of legal proceedings ASIC can bring.

Additional Information:

This question belongs to the Law as well as it discusses regarding a scenario where in the private company, the director and one of shareholders is having trouble with another majority shareholder and managing director of the company. The question is whether or not the director can report this to ASIC.
