Question

You will answer some questions about Caremark claims and the business judgment rule (BJR). In the Citigroup litigation (described in Online Resources #3 in Week 04 Overview), the court denied the plaintiffs' Caremark claims and afforded the defendants the protections of the business judgment rule. Questions Do you agree or disagree with this decision and why? Do you believe that there should be a risk management duty of care and limits to the extent of the protections of the business judgment rule in situations where the company may be exposed to catastrophic losses? Should it matter if the losses are in a line of business in which the company has expertise, as in the Citigroup litigation example? Why?
